I believe HNV formed venture with RS software because India has talented but cheap pool of software programmers. Here is a piece from a video game magazine about India:

This is a very different area of software development with a very high competition. If they will only provide a technical support for their own e-commerce initiatives, but again, it is cheaper just to buy an application and there are plenty on a market for their particular needs. So, why they did this step? At the end of this month we will see what Basil thinks about it. I personally trust him. Michael
