With my background in system logistics (Distribution Systems), I think it's a winning combination to have a real retailer leveraging itself into a larger combined volume web commerce / retailer. They should gain margins due to volume from both operations, and gain access to capital markets through SBX. At least there is a real business here with a Management team that has already demonstrated it can build a significant retail business without having gone public. If the deal goes through, I think the risk is far lower here than with most Internet startups that are yet to prove they have a business model that works!
I really believe, we are still very early in Internet commerce, and huge opportunities await those established retailers that can execute a concurrent strategy that builds multiple distribution channels.IMHO
