MILLION IN FINANCING

Latest Round Of Funding Brings Total Investment To Over $36 Million

SANTA CLARA, Calif., January 22, 1997 -- Ramp Networks, Inc., a leading provider of
easy to use, fast Internet access devices, today announced that it has raised $15 .9
million in Series D venture capital financing which will be issued as Convertible Preferred
Stock. Berkeley International Capital Corporation (BICC) arranged the lead investment in
this fourth round of funding.

Based in San Francisco, Berkeley International Capital specializes in private placement
investments in growing technology and medical companies. For the past 20 years BICC
has a strong track record of investing in profitable companies in rapidly expanding
markets. Companies funded by Berkeley include America Online (NYSE: AOL), Oracle
Corporation (NASDAQ: ORCL), 3Com Corporation (NASDAQ: COMS), Acuson (NYSE:
ACN), Cypress Semiconductor (NYSE: CY) and Adaptec (NASDAQ: ADPT).

"We invested in Ramp Networks because they're the only company that has delivered a
fast Internet access device designed specifically for the small office market," said Alan
Foster of BICC. "Other companies have realized that this is an explosive category and

Additional investors include Charter Growth Capital, Arete Ventures and current Ramp
Networks investors. The completion of this fourth round of funding brings the total
investment in the company to $36 million.

Charter Growth Capital, a $90 million fund, was founded in 1997 to provide venture capital

business partners in Asia. Arete Ventures, a $100 million dollar venture fund backed by
thirteen US and European electric utility companies, focuses on investments in emerging
networking and communications companies.
