To amend the Company's Restated Certificate of Incorporation to provide for an increase in the number of authorized shares of Common Stock, $.01 par value per share, from 100,000,000 shares to 400,000,000 shares. To amend the Company's 1986 Stock Option Plan and 1995 Employee Stock Purchase Plan to increase the maximum number of shares available under both plans combined from 9,000,000 shares to 14,000,000 shares.
