Gary,

My question is who controls the board? Do the founders and LU (or any of the other original investors, including VC's) have enough clout to vote to accept an acquisition? If so, the vc's, founders and the winning investor all vote for the merger at a price higher than that expected in an IPO. These interested parties walk away winners, the other investors fear the future. So, does this need to be unanimous?

A high-level Cisco Systems exec writes to say he was doing some
reconnaissance surfing on Lucent Technologies' Web site when he stumbled
across a chart that showed voice traffic staying fairly linear, but data traffic
growing along the well-known hockey stick curve in the next few years. The
kicker is that it looks identical to a chart on Cisco's Web site - posted about
a year ago. "I guess that's what they mean by 'Bell Labs innovations,' " he
snipes.
