Ken...I'm not saying you are right or wrong, as I tend to believe we are seeing a lot of unwarranted valuations on a lot of tech companies these days, but the quotes you mention from the filing are pretty much standard boilerplate disclaimers...you will find similar statements in most any filing/prospectus for a new company...I'm sure there was something similar in the filing for AOL, AMZN, and YHOO a few years back when they first went public...

I don't really know much about RAMP, but I know enough about current market conditions, etc, that I think RAMP will open up in the $30-$50 range at a minimum unless the Internet stocks have seen a mega-correction before it comes to market...

Meanwhile, LPGLY is a steal under $30 with NETP IPO and RAMP IPO on the horizon....my opinion of course...
