This may be important to know - when you look what happened to WCAP when the preferred stock has not been converted into an equivalent number of ordinary shares.

Message 8975243 was quite a surprise.

Disclosure by the company (or BICC) should be important, as that contains material information and may influence the future stock price of LPG. LPG, having a nasdaq listing, should, in fact, be ready to disclose that equity-related information.

The numbers in the S-1, which reflect the fact that LPGLY owns 1,517,020 shares of RAMP, assume that all of the preferred shares have been converted to common shares on a one-to-one basis. From page 62:

Common Stock

As of December 31, 1998, there were 16,099,413 shares of common stock
outstanding that were held of record by approximately 90 stockholders after
giving effect to the conversion of our preferred stock into common stock at a
one-to-one ratio, and assuming no exercise or conversion of outstanding
convertible securities after December 31, 1998. There will be shares of
common stock outstanding (assuming no exercise of the underwriters' over-
allotment option and no exercise or conversion of outstanding convertible
securities after December 31, 1998) after giving effect to the sale of the
shares of common stock offered hereby.
