My interpretation is that the company needs capital so badly that shareholder interest had to take a back seat.

ScrapCollector, no question about it. Once their warehouse lines of credit were pulled last year, cash was so valuable to them that the only currency they had was stock - and they spent it freely in exchange for anything (principally $$$$$$) it would buy.

But I've got to say that this could be an elegant way for a fairly illiquid investment in a company with a $35M deficit in retained earnings (even a steam shovel couldn't have dug a deeper hole), to be recharacterized under the term "internet", repriced, and subsequently recovered....
