[looks like they need to use that corrected-to number of 100 million monthly page views.] The letter of intent outlines that Nettaxi, Peregrine Pacific and FirstLink Communications, Inc. (NASDAQ SmallCap Market - FLCI, FLCIW) will form a limited liability company for the purpose of providing specialized Internet services to FirstLink's cable television, telephone and Internet subscribers. Peregrine Pacific will pay between three and five million dollars to Nettaxi and two of its founders for a five-year commitment to provide Internet services for the strategic partnership. The agreement will include development of custom communities located within the Nettaxi portal and distribution of Nettaxi's ''Internet the City'' CD-ROM to the alliance customers. Nettaxi and the two founders will acquire a 35 percent ownership in the company. Peregrine Pacific and its affiliates will own 35 percent of the membership interests and will provide capitalization and ongoing funding to fulfill the alliance's objectives. The focus of the partnership will be to acquire cable, telephone and Internet (jointly referred to as ''telecom'') customers, and potential customers via the purchase of existing telecom systems and rights of entry contracts. Currently, the alliance members have identified and/or negotiated for the acquisition of over 600,000 potential telecom customers. Peregrine has also identified an ISP network that is interested in joining the alliance for its strong portal fueled by Nettaxi. The customer growth potential is currently represented by approximately 180,000 monthly subscribers. FirstLink, an integrated provider of bundled telecommunications services to multi-family apartments and condominium complexes, will also be a 25 percent member of the limited liability company and will provide a five year exclusive right to provide Internet services to FirstLink's customers.
