Mission Statement

To provide our customers with an alternative American source of the highest possible quality pagers, pager products, pre-paid and other telephone services that exceed expectations in value, reliability and performance.

To provide our investors with an exceptional return on their investment.

To provide a positive, stable, ethical environment in which our employees and associates can reach their fullest potential.

1998 Update and Outlook

Global Access began as pager manufacturer 2 years ago capitalizing on Wireless and Telecom industry experience that now totals over 50 years of combined experience among our senior managers.

Pagers are the lowest cost consumer wireless device worldwide, the people's wireless communications.

In 1997 there were 120 million pager users in world, by the year 2000 there will be 200 million pager users worldwide.

Global Access pager sales in 1997 were $1.3 million; $2.5 million is forecast for 1998 and $5 million in 1999.

Paging Division R&D is internally financed through a series of joint ventures that enable us to secure product development and production engineering in exchange for our design and marketing services.

Global Access like Motorola, NEC, Panasonic, Philips and Casio sees pagers as one segment of an entire range of communications product and service offerings that we like these other corporations offer.

The acquisition of Phonetime Resources added Switched-based Telephone services to the Global Access product range. Currently we are offering Pre-Paid Phonecards on Retail and Wholesales basis, International Callback and soon Pre-Paid Cellular Service in selected US cities.

November 1998 was the 1st month that Phonetime Resources division switch operations were commercially viable. We expect sales of $30,000 in our 2nd month of operations. By the end of the 1st quarter of 1999 sales are anticipated to be over $100,000 per month with sales projections for 1999 topping $3 million for the year.

Global Access will be entering the International Callback market by February 1999 having entered into a long term agreement with Minitec Marketing, Inc. to both market their Majic Box® International Call-back equipment and to process all of Minitec's US domestic and International phone traffic. A Pre-paid cellular marketing program is being tested; we plan to have an alliance with cellular carrier in a major market by mid-year.

THE NEXT WAVE IN COMMUNICATIONS IS INTERNET PHONE SERVICE

Internet Phone (IP) services are going to be the next wave in communications worldwide. Projections are that global IP services, which were valued at $1.8 million in 1995, will be total over $1.9 billion in 2001.

Internet Phone service allows international calls to be made for the wholesale cost of two local phone calls; one of which is paid for by the consumer. Global Access and it's partners also bear the fixed cost of placing and maintaining an Internet Phone switches at the location placing the calls and the location receiving them. The difference between those costs and current international phone charges is often 80 to 90% of the retail call cost. The profit from IP services can be from 50 % to 80% even with significant price discounts.

We have lowest fixed cost for equipment in the industry. Our entry-level Internet Phone switch is $5,000 per location versus $30,000 from our larger competitors. Gaining the most local access points is a key strategy in winning the Internet Phone race. Having the lowest cost gives Global Access an enormous advantage.

A $5,000 IP switch can return up to $100K per year in profit, please refer to the What's New page of our web-site for more details on the financial aspects of our Internet Program.

We plan to have 5 switches installed by January 1999, 15 switches installed by mid-year with a total of 50 installed by the end of 1999. These switches will produce monthly revenue of $50,000 in January, and $150,000 in June, with 1999 IP switch revenue projected to be $5 million.

The Global Access marketing plan is that we do not sell the switches but lease them on a Revenue Sharing basis to Local Agents. This will enable each side of the partnership to be responsible for all local acquisition and support costs giving each side a vested interest in maintaining their revenue stream by maintaining and supporting the equipment that generates it.

This strategy will allow Global Access to rapidly build a sizeable asset in our global IP network infrastructure and marketing partnerships. Our 1st two Internet telephone links featuring our MICRO-NETip™ gateways are now operational linking Shanghai and Ningbo, China with our US Internet Hub and ultimately to our Los Angeles based worldwide International Phone system (PSTN) gateway.

Company History

Global Access Pagers was founded in early 1996 by industry professionals with over 40 years of combined industry experience. Global Access is third pager manufacturing operation our partners have founded since 1989. Among the US paging industry's current players, Motorola is the only America pager manufacturer that was not founded by members of our management team.

The ELite Keychain pager, which we introduced in September 1996 was the 9th pager design we have created since 1989. By comparison, Motorola over that same time period introduced 12 conventional pagers (not including pen, credit card and watch pagers).

In 1989 we created the Uniden Paging Division for the Uniden Corporation in Fort Worth, Texas. That division has grown to be the number three selling pager manufacturer in the U.S. market. Every product that they have sold up to September 1996 was developed under the engineering oversight of one or more of our founding partners.

In 1994 our engineering and production team members were hired by a U.S. company to create a new pager manufacturing operation. That organization was eventually staffed by all three founding partners as the heads of the engineering, production and sales departments.

Sales for this company grew from shipments a few thousand pagers in April 1995, their 1st month of sales, to over 80,000 units in the final 32 days of 1995, the last month all three partners were associated with that organization. We believe such growth made this the fastest growing pager manufacturing start-up in the industry's history. In the first quarter of 1996 we all left this company to start Global Access Pagers, Inc.

Global Access Pagers was incorporated in May of 1996. Initial funding was received in June and pagers began shipping on October 3rd, 1996. We have shipped over 50,000 pagers and have a reported D.O.A. failure rate of less than one per thousand units shipped.

We believe this is the lowest D.O.A. rate in the industry. This is possible because we test 100% of every shipment to determine that every product we ship exceeds our published specifications on the frequency and capcode that it was ordered on to insure the highest possible reliability.

In 1997 we passed approved vendor testing with Arch Communications, the nation's 3rd largest carrier. We continue to ship pagers to their customers all across the country.

Nice to see you are finding what I posted a month ago. Keeps it fresh in our minds.

It looks to me like the attorney and auditors are going through the press release one by one. Bet we will see more "correcting" recissions in the near future. You can't put the genie back in the bottle. HOW LONG will the SEC stand for this?
