A STEAL BELOW 100............Lycos is presently moving to close its controversial deal to merge with media properties now owned
by USA Networks Inc.

According to a report Tuesday on the CNBC financial news TV channel, USA Networks chief
executive Barry Diller is in talks with possible partners who may join his bid for Lycos.

Diller refused to comment to CNBC on the report, which raises the possibility that the USA/Lycos
deal could be restructured. Major shareholders have bitterly criticized the deal, saying it offers too low
a return to Lycos shareholders. Lycos's largest shareholder, CMGI Inc., an Internet venture capital
firm, opposes the deal.

more upside yet.
