Not that I can think of off the top of my head. If I understand your question, the lemonade stand would have to have a gazillion shares outstanding and it would have to be the surviving corporation. Pretty sure, in that event, you'd still have to have an S-14, which is a full-blown registration statement and a lot more expensive than a simple proxy statement just to authorize additional shares.
