I had the privilege of interviewing Mr. Andy Mazzone, CEO of ThermalTec International Corp., this evening. Andy has quite an extensive background in the metallurgical coating field as well as in an executive position. Three years ago Andy was CEO of a major international industrial company with revenues in the $100's of millions annually. Andy sold this company and pursued the creation of Thermaltec International (THRM). During his many years involved in industry, he has made several professional contacts and has met many individuals that have played a part in his present success. Andy is definitely a CEO who places his shareholders ahead of himself. Several times he mentioned to me that the shareholders were the most important element in his business. Without shareholders, he wouldn't have been able to come to the point he is now at with THRM, according to him. Andy has successfully negotiated a merger with a rapidly growing successful internet based company, Solar Communications Group of Millville, NJ. Solar Communications has pioneered and executed the PCRoomLink program, which will provide instant and efficient internet connections in major hotel chains using a separate wiring system. No longer will the business traveler need to rely on the telephone lines of the hotel which are many times antiquated and costly to use. The web site for the company is at pcroomlink.com . There will be a press release probably later this week. If not, it will be the first of next week. This announcement will give an exact date for completion of the merger and further details. Virtually all legal paper- work has been completed already and the proper forms have been filed with the SEC. Solar Communications will merge into the shell of THRM. THRM's assets in Latin America are currently being transferred for the formation of a new corporation, Panama Industries. Domestic assets in New York will be completely transferred on the date of closing. The new Thermaltec International will be the former Solar Communications. This company has extremely high potential with excellent contacts and brilliant marketers. It will be expanding rapidly into new hotels and is looking at several other related internet businesses. There are currently approximately 50 employees that will be part of the new THRM. However, that number will increase rapidly. Look for frequent future enhancements to the web site and several press releases after the merger finalization. Several brokerages and an investment relations firm are working with and will continue to promote the new THRM (Solar Communications). Shareholders will receive equal shares as a spin-off dividend on the day of closing in Panama Industries which is the present metallurgical coating business located in the U.S.A., Costa Rica and Puerto Rico. Currently, the company has 24 employees but could double that number. Andy is exploring several options to dramatically increasing either his domestic business, his Latin American business or a combination of the two. Panama Industries (present THRM) is working with a brokerage / promotional firm. The business has been expanding. After the closing, THRM will be a fully reporting company immediately. Panama Industries will be audited annually and will be a fully reporting company within one year. THRM will probably be trading on the NASDAQ short-term after the merger is completed. The following is my opinion only. I feel that THRM is presently signifi- cantly undervalued based on the dynamic business expansion with the PCRoomLink project and the growing metallurgical business of Panama Industries. In addition, the new THRM is exploring other internet applications. Andy truly believes in both enterprises. He is so convinced of the success of both companies that his own personal shares are restricted for two full years as part of the negotiations. He has never sold a single share of THRM. That tells me a lot about his faith in the companies. I feel the same faith in the two companies that I will own shares in.
