Sorry, can't answer your question. I am not very familiar with the SEC rules as I mostly work with Canadian by-laws. Would be interesting though if you post the answer to said question if you find one.

"Quied period" - Talked with a banker last night - it seems to be a SEC rule - when creating a new public INC. - there must be a quiet period of 90 days without PR.

See this new subject where it is a part too:

It is not a recom to buy but it will be interesting to watch.
Individual web applications (without use of standard web browser) may be an interesting line of business.
