I had the opportunity to have a telephone conversation today with
Jim Rossi, CEO of Solar Communications. Solar Communications Group,
Inc. located in Millville, NJ will be merging very shortly into the
shell of the former company, Thermaltec International Corp. (THRM). Thermaltec of
West Babylon, NY has already commenced a deployment
of its assets in Latin America and will shortly transfer it domestic
assets. Current shareholders in THRM will keep their shares of THRM
which will be the present Solar Communications and will receive a
stock dividend in the form of a spin-off of the present metallurgical
coating business of Thermaltec. Shareholders will receive one share
of this spin-off, Panama Industries, for each share of THRM that they
own as of the closing date of the merger. That date will be sometime
in May and will be announced very soon.

Solar Communications was formed in 1996 to provide quality communications
alternatives to the business community. Its first
major project is PCRoomLink which will revolutionize the lodging
industry. Hotels will provide instant and efficient internet connec-
tions through a separate wiring system with PCRoomLink. The business
or other traveler will no longer need to rely on the telephone lines
of the hotels but will have greatly expanded capabilities using the
internet. Response so far has been overwhelming.

Solar Communications is gearing up for a significant number of hotels
wishing to have PCRoomLink. According to Jim Rossi, by fall the
company projects completing wiring of one hotel each business day. Revenues will not
only be earned by the PCRoomLink program but through
advertising done by sponsors on the company web site. The growth
is so significant that the company is already increasing its payroll
by four to five employees each week. Hotels that belong to major
chains will be participating in the PCRoomLink on an individual
basis.

Once the merger occurs, there will be a substantial advertising budget through national
publications and television stations such as Forbes,
Wall Street Journal, airline magazines and CNBC, to name a few. The strategic goal of
the company is to make everyone in America aware of PCRoomLink. Solar
Communications already has a public relations firm that will be writing news articles on
PCRoomLink for the top business
newspapers and journals in the country.

PCRoomLink has negotiated and finalized deals with two major
companies - AT&T and Compaq Computer. AT&T and Compaq will provide
hardware and expertise. One contract has already been signed with
Compaq Computer but a much larger deal is in the works.

Jim Rossi told me that the company is constantly looking for new
internet applications and will be expanding beyond the PCRoomLink.
He said that he has a very qualified management team with much
experience and talents. He is pleased to be working with Thermaltec
CEO, Andy Mazzone, to give shareholders excellent value in two separate companies.
