We believe Identix Inc., will come out of the closet as an Internet ''play'' on Tuesday, April 27, at 11:00 AM(EST), at which time its Q3 (June FY) Conference Call is scheduled (tentatively) to begin. We believe the consummation of the Identicator acquisition should occur on Monday, April 26, in the afternoon. Therein lies the story.

Identix' existing business -- complex, sophisticated biometrics fingerprint identification systems -- is not exactly chopped liver. Revenue growth each of the past 4 years has exceeded 30%, with profits each of the past 2 years. But for the acquisition, product rationalization and SEC paperwork delays, IDX probably would have had double digit revenue gains this year to perhaps $90 million with EPS $0.15 - $0.18. Q2 & Q3 shortfalls (the Q3 shortfall was pre-announced April 14, driving IDX from its 4/13 close of 7.25 to a low of 6.125, before a higher close at 8.125; a final ''week sister washout '') will lower year revenue below $90 million, with EPS around breakeven. Nonetheless, we believe this traditional business can double-plus to $200 million of revenue, with good profit in 3 years.

The real sizzle, however, and the Internet play, is the acquisition of Identicator with its product line of very low-priced ($99 and declining rapidly versus Identix $40,000 FBI systems full of communications capability, etc.) PC devices, we believe, will totally obsolete passwords & pin codes in a very small number of years. The geometrically increasing need for e- Commerce security demands a better way (Bill Gates said so at the most recent Comdex). Software encryption will be an important solution, compatible with and desirable for as much protection as possible in this burgeoning market.

Identix & Identicator probably have over 90% of the world's installations of fingerprint security devices. Both have extensive patents. Between them they have partnerships & relationships with the ''Who's Who'' of HiTech: Compaq, Hewlett, IBM, Microsoft & Oracle -- to name only a few in alphabetical order.

We believe IDX will become a major Internet play -- very soon. From last November's Identicator proposed acquisition announcement until next Tuesday, post consummation of the acquisition, management has been silent under legal advice. We believe a news floodgate begins at 11:00 AM(EST), April 27. The clock is ticking; one day + two hours to buy. Meanwhile, unlike virtually all other Internet plays, this Company has sales, and earnings, and patents!
