AOL does not have to side with Comcast to win what it wants (which is a better deal for access from ATHM/T)....it just has to look like it might side with Comcast. I would be very surprised if they actually went through with it. Please remember that in the internet space AOL is seen as the future Gorilla at this time, which means deals will be made between enemies to stop them. IMHO Comcast is being lead along by AOL. The family that owns most of Comcast would never give the kind of control to AOL that Case would demand. They would quickly see that they would be better off back with T calling the shots. It's make up time.

T IMO is the most natural fit for this so therefore will pay the most. AOL still has DSL and MSFT is working on T1/Wireless/WebTV. Though both companies would love to be into Cable/Broadband for it has a head start, they would each have a long row to hoe to assimilate the technology. On the other hand T can walk into this with no doubt of success

Goods points along with the others you had stated in your post.
However, it is about paranoia. MSFT wants to be "the net" but is having some trouble. Could they pass up an opportunity like this? IMHO they cannot pass up this opportunity unless there is some deal with AT&T in the works for some internet content etc. It is clear that T is betting on cable (remember MSFT's investment in Comcast and what effect it had on cable stocks----MSFT was believed to have endorsed cable as the future of internet access).
MSFT's problem is that the cable companies did not trust them and they did not get the best deal for set top boxes. Now MSFT has a chance to be in more control----or at least be able influence to a greater extent.
The bottom line is what is AT&T going to give MSFT to stay out of this. I believe Armstrong probably already had talks with Bill Gates about this. He was invited to Gates home last fall as well. They may have a pretty good business relationship and may actually be doing deals now.

Gang- Great news from T's CFO this morning. 61 cents vs. the street's est. of 57 cents. This includes the acquisition of TCI! This news will certainly be positive for ATHM, and won't hurt the UMG offer if we see T shares rise nicely today.

eBay came out with blowout numbers. AOL is expected to beat street estimates, so it looks like an excellent day for the Internet stocks. Let's hope ATHM goes along for the ride!
