The only factor that matters in the case is that Aber did not give formal notice, nor did they send the check, according to the info supplied by both parties.
There is no need for a long discovery process or lengthy trial on all the non relevant trivia. I would be surprised if Winspear has not in addition filed a motion for dismissal with multiple costs and damages.
If there are any grey areas they will be decided on the balance of probabilities.
The claims made by the parties would lead me to believe that Aber took the unusual (and unwise) tactic of withholding their formal committment as a bargaining tool to pressure for the settlement of a buy out for Aber. If you don't pay us what we want for our 32% then you can have half of of it for free. Na na nana na!
This will probably go down as #1 in the Canadian Business top ten dumb bunny bargaining tactics.
