To all: I think this has got to spell good things for ATML in the future. I read a survey that said people are willing to pay up to $50 up front for a Smart Card and an annual fee of 20. If thats true, I bet banks jump on it. JDN

Atmel Completes Acquisition of Motorola Smart Card Chip Operations; Atmel Smart Card ICs Ltd Open For Business

SAN JOSE, Calif.--(BUSINESS WIRE)--April 27, 1999--Atmel Corporation (NASDAQ: ATML) has now finalized the acquisition of the Smart Information Transfer (SIT) business of Motorola Inc. and transferred its operations to a new wholly owned subsidiary, Atmel Smart Card ICs Ltd. Some 80 people from the global SIT division, the majority of whom are based in the division's headquarters in East Kilbride, Scotland have moved over to the new company.

SIT's advanced products, like the ISO1443 type B dual interface contactless chips, sit well alongside Atmel's core nonvolatile memory capability, expanding our technology base and providing us with significant market potential for the future."

Atmel Smart Card ICs Ltd inherits all SIT's current designs including Motorola's HC05 and M-core micros. The HC05 is currently one of the leading microcontroller cores used in health and banking card applications, while the state-of-the-art M-core is a flexible high-performance smart card IC solution that is suited for consumer applications. Atmel is to continue supporting all existing customers and designs, and looks forward to working with those customers in developing the next-generation smart card ICs.

The acquisition elevates Atmel Corporation to the third largest smart card IC provider in the world. SIT's smart card range will complement Atmel's formidable portfolio of Secure Flash-microcontrollers, Secure memory, Secure crypto-controller and RF ID products. In addition, Atmel can offer a broad range of nonvolatile memories like embedded Flash and EEPROM, and provide 8 to 32-bit solutions using their advanced range of microcontroller cores that include 8051, AVR and ARM.

The Motorola designs will be transferred to Atmel's own processes over the next few months to be manufactured at the Company's Colorado Springs (USA) and Rousset (France) fabs. While these fabs are getting up to speed Atmel will have access to Motorola's manufacturing capability for a transition period, that is expected to last around 15 months. Besides acquiring SIT's designs, Atmel has also purchased some module assembly equipment that will be moved to Atmel's facility after the transition period.
