That is the $64K question my dear friend. Let's look at this logically:

Face value, the combination makes sense. However, if you look through the venier, there's alot of concerns. NSO appears to be a weak house of cards with a book of only $0.18 and an inflated share price in anticipation that the SG and other deals finally will turn around the depressed revenues. We all know about ANDA's problems.

Secondarily, in light of the very questionable structure of this deal, how can anyone properly access the shareholder effects? Imho, Dave is on the absolute razors edge of the ethics card with how he did this and frankly, if he had any degree of confidence in the combination, why would he cash out upfront at a discount?

There's too many question marks to make a fair evaluation and that is the problem. Until the cards are on the table there's really no way to know. In this light, you're really talking about a shell game and a prayer. As such, the share price suffers.
