Garza -
Twice in two days...Jeez, can you read an income statement! Coms annual diluted net earnings per share has decreased over the last 3 years and USRX hasn't really helped their revenue growth. That's all their worth today Jack...and 40's a gift. Since you're new to SI (joined last week) I'll let it slide, but think before you type. I see you updated your profile...what, did you just retire from CA labor commission? I hope not to be an equity analyst. See if you can go back civil servant and leave the analysis to those more qualified!!!

COMS valuation:

If COMS goes with simple 4 to 8 times revenue, the price will be between 60$ and 120$. Taking some points off (20% discount) because of the low end mkt segment will then be between 54$ and 95$. COMS has about 5$ cash, so the buyout price should be between 60 and 100$. IMO, it will be at the low to medium end of that if it happens, that is 65$-70$ range. COMS is less than 30$ now, so COMS will need to go up to about 40-50$ range before any reasonable buyout can happen. all imo.

40 is a good number, but not in $. Now the rest of the story... When Benhamou took over, coms hit the bottom hard for the first time. He rallied the tribesmen to cross "the desert" with him. When they got out, everyone was happy. Little that they knew, Eric would take them back into the desert 3 more times. He must have known by now how Moses felt after 40 years. And he's painfully aware that the tribe was finally led out by someone else.

However, it hasn't been 40 years yet. So, welcome to the tribe.

Garza: I don't know if I would compare 3com to a Rembrandt but will agree that 3com is undervalued and is a bargain even at the present price. 3com certainly has to undergo a major mgmt change and change their strategy...which I believe they will do. USRX was a major blunder by Benhamou & cadre and WS has certainly punished them for it!
I focus on the management as a first step in any investment decision...it is they who can make/break an organization. If they make
$$$ for the shareholders you stay with them or remove them. There are other factors involved in making your analysis...best to take a course in Financial accounting as well as Managerial accounting...both are extremely helpful. Then there is the dynamics of the mkt...no one has mastered nor come up with any type of model to predict with any accuracy as to how mkt dynamics will behave on any given day/moment!
There are quite a few individuals on this thread that follow 3com very closely and including myself there were many who were caught by surprise when she took her dive when she hit the 50's! As to the $40/sh buyout and how these individuals come to that figure...you should ask them to supply you with their rationale and how they come to that figure.

Regards,

HKirby
