I'm on the road today so I don't have access to my accounting resources. I seem to remember that most merger costs are considered to be part of the purchase price and are capitalized and amortized. I'll look it up when I'm home tomorrow. Seems like I remember something about how to treat merger proxy costs but I just can't remember right now.

The Diamond non-payment will be an expense (increase in allowance for bad debts) if 3dfx management thinks that there is a significant risk of non-payment.
