Here's the best analogy for a spinoff: What happened to LU (formerly known as Bell Labs) when AT&T spun them off? A spinoff usually allows a company to be fully valued in the market (like LU). Each shareholder of record received one share of LU at the spinoff's inception. Needless to say, AT&T's shareholders were/are very happy.
