Here is a message that is apparently from EDIG'S IR (I only say apparently because it is copied from the RB board...I suggest you go directly to EDIG IR directly for confirmation of any of this information).

The below message touches on Celestial's role. The "Coming Soon" message at the Celestial web site is interesting....

I also found this part of the below e-mail very interesting:
"EDIG is currently working with Lucent Technologies and Celestial Technology to perfect a system for downloading music from the Internet or from CD's and taking it to a portable player using removable solid-state media."

And of course this was the icing on the cake:
"Keep your eyes open for news as this product and the relationship between e.Digital and Lucent develops."

Subject: Re: anything new happening this week?

Thank you for writing. I am happy to give you a summary of e.Digital's current business:

The company is in a better position now than it has been for the last 2-3 years because of the business we do with Lanier. The two-year development period for their digital voice recorder and PC docking station is winding up and we are going into production. The products are expected to begin shipping this month. This is an extremely important event for EDIG. While Lanier has been paying for the R&D on their products, the margins on engineering work are relatively small. Mr. Falk announced at the Shareholder Meeting Jan. 12 that the profit margins on the units shipped will be close to 30%. Lanier has placed an initial product order for $3 million, which is expected to cover their first five months of needs based on their sales forecasts. EDIG anticipates that Lanier will need approximately $8 million in product per year for the next two years. There is also the potential of developing additional products or enhancements for Lanier.

EDIG has secured an agreement with Intel Corp. wherein e.Digital will develop a number of prototype voice recorders which Intel will then market to Intel's OEM customers. These prototypes are expected to be delivered to Intel mid-year. Interested parties will be referred back to e.Digital for licensing and/or further design and manufacturing work. Although the value of the initial contract is under $1 million, the potential for future business could be much larger.

EDIG is currently working with Lucent Technologies and Celestial Technology to perfect a system for downloading music from the Internet or from CD's and taking it to a portable player using removable solid-state media. Lucent used e.Digital's prototype in October, 1998, for a coast-to-coast demo of the concept, and again used it in January at the Midem International Music Market trade show in Cannes, France. We feel that this new emerging market has tremendous potential, and we have been prepared for years with our MicroOS(TM) Audio technology. Keep your eyes open for news as this product and the relationship between e.Digital and Lucent develops.

I hope this information is helpful to you.

Best regards,

Wendy Ravenel
