The Illinois Commerce Commission is in the final six weeks of its almost 15-month inquiry into the more than $70
billion merger.

The ICC's hearing examiners - internal magistrates who distill reams of testimony to make a recommendation to the
commission - have recommended conditional approval of the merger. The five-member commission will now take
this last proposed order into consideration for a final vote to conditionally approve or veto the deal.

A SBC spokesman said company officials had to carefully review the proposed order and its merger conditions
before making a comment on their fairness or effectiveness.

"We remain very pleased that the hearing examiners have recommended approval of this merger for the second
time," SBC spokesman Selim Bingol said. "But we're still plowing through the details (of the proposal)."

By law, the ICC must make a decision by September 24. The commission extended its previous deadline of June 24
in order to get more specific information and proposals to ensure the deal would not inhibit upstart local phone
competition.
