Vinh, from experience I know that Morgan Stanley will put a stock on
their restricted list if they have been actively engaged to "increase
shareholder value". It is currently not on their restricted list so
they may not be part of the deal. In an earlier post I speculated
that MS may have received some level of confidential disclosure since
IDTC cancelled out of the MS conference and that is why MS has no
comments to make. I do not know what the status is with GS. If
someone has a contact there it might be interesting to know whether
they have a restricted list policy and if IDTC is on it. Any input
would be appreciated. Thanks in advance.

BTW, In my opinion re: IPO shares(READ)

The way that the company will get around the 20% accounting requirement and the way the company will be able to have enough shares to satify everyone and still control the deal is that they will issues (super voting shares). Those will be the shares that the partners and the IDTC will have control over. Most likely they will get 3 votes for each share and therefore with 20% ownership, IDTC will control Net2phone but have plenty of regular shares to go around.
