Whoever wins this has access to 1/2 U.S. homes via cable (as I understand). A Comcast deal would be great for MSFT.

Only AT&T would come away with 1/2 of the US homes. Other combinations result in less concentration. At the very least, MSFT would probably walk away with management control of the cable service RoadRunner (which might just give Maffei the job he wanted last week). Is that worth what they'd probably end up paying for it? Hmmm...

RTev: is right-near 50% would apply only if ATT takes the day. The odd thing here is that MSFT has the upper hand in any collaborative effort to buyout MediaOne. MSFT already has a position in Comcast and has much more balance sheet buying power than AOL. I am surprised that Case would allow the DOJ to see him getting in bed with what they characterize as the USA's version of Slobo. I really find this thing an event of strange bedfellows. It is unlikely to happen unless MSFT gets some intangible support from AOL in other areas.
