Exactly. And if a merger were proposed, we'd see all the arguments fully fleshed out. I understand why Jermoluk and ATHM would be willing to risk the legal battles of trying to do a merger. I cannot understand why AT&T would risk it, however. They want the cable connections to the home in order to provide a mix of services. With UMG, they'd have somewhere close to 50% of cable homes available to them (28% by the conservative count their lawyers would use). Getting that is a daunting regulatory risk in itself. They would have little reason to try to add into the mix an internet-service merger that would tie well over 75% of homes into a single service.

I think the Government is going to bust up MSFT, so they have to move their big dough into the right stuff. I can't think of a better way to do that but through Comcast-UMG. When that goes, what is COX going to do? They will get an unsolicited offer just like UMG.
Just look at the price action of Cox yesterday. UP BIG in a down market, not too shabby volume either! If Comcast is successful and gets UMG, it sets a precedent and COX won't want to be be controlled by AT&T either. The fact is that if Comcast or anyone else has to spend the bucks to build the system, since AT&T is committed to TCI, they might as well get the rewards with the outlays and go their own way.
