***TO ALL****

Just spoke with David Altire (sp?) of JSUB--things sound pretty darn good. Not overly emotional --just solid.

I asked about all recent 144-s--his comment was that that was not insider selling at all--some early investors were holding preferred D stock and merely converted to common.

I asked about the drop in stock price last year--response was that they were in the midst of registering with SEC and were advised to not do any PR. The auditing process ended up taking almost 5 months and this caused some investors to sell off--no news equally bad news to some. In September the audit numbers proved to be positive and they are now beginning to take steps to start up some more marketing.

Future--they are looking at 2-5 more chain acquisitions for this year--timing and exact amount unknown. The funding should be in place for this VERY soon. They are currently making money at the operating level and aniticipate this moving to the corporate level in the near future (purposely vague--as it should be). 1998 had a lot of one time fees that they do not anticipate having to duplicate again in '99.

Sounded solid to me--I'm in.

Hope this helps.
