INTERNET--(esecurities.W)--May 6, 1999 - ThrustMaster spin-off and/or WeCanTalk.com IPO?

Since Frank Hausmann first started talking about WeCanTalk.com initiatives and more recently after listening to ThrustMaster's April 29, 1999? "Investor Conference Call"* and references to WeCanTalk.com as at the forefront of the current IP Telephony Revolution... logic simply dictates that for (NASDAQ:TMSR) to have any credibility and be a player in the IP Telephony sector ThrustMaster must either change its name and or spin-off/divest ThrustMaster [H/W Controllers] entirely and or formally launch WeCanTalk.com pursuant to its own IPO...Hausmann et al. simply could not have overlooked this one and possibly only? overwhelmingly obvious...inconsistency...pursuant to said "Conference Call" the following was discussed...a large-scale National marketing effort devoted exclusively to WeCanTalk.com initiatives commenced this week including possible video segments on CNBC, United Air Line [June] flights...iConference should be demo'd at Black & Company's May 10 Investor Conference...iEducate [Fall '99] will follow iConference rollout...Q1 '99 numbers 96% attributed to hardware, 4% software with 87% of the gross margins attributed to hardware and 13% to software...WeCanTalk.com is essentially multipoint audio conference calling on the Internet...integrate that with community and instant messaging and integrate that with [TMSRs] own proprietary GUI...that becomes the core platform/engine of TMSRs entire portfolio...on top of that [TMSR] will layer multiple applications that will be targeted at very specific vertical market segments that TMSR is entering e.g. OEM channels ref/ entertainment segment, SOHO, education segment, Home Networking segment, general consumer segment, enterprise segment...which is where Chumbo comes in...re: representing tier 1 and 2 OEMs (IBM, Compaq, Gateway...)...the retail market will be further broken down into vertical market segments e.g. health, religion, family, teens, finance...wherein TMSR will "layer in" these very specific apps into these segments...OEM/eCommerce channels will be the home-run not retail...Pfeiffer booted out of CPQ by simply failing to understand the "Dell [Internet/Direct] Business Model"...WeCanTalk.com Europe Fall '99...WeCanTalk.com will [be the only product of its kind in history and in existence] offering a complete solution plus instant messaging plus the concept of community...squarely addressing the very essence of the power of the Internet...Intel has TMSR Warrants representing 88,900 shares which were repriced down to $4.81 12/1/98 pursuant to a renegotiation of the May 31, 1998 original multipoint audio license...TMSR was targeted by Intel re: Multi-Point Audio [IP Telephony] as the ideal candidate due to their gaming focus...after Hausmann joining TMSR 10/98 realized said Intel property was bigger than Aanderud's retail/hardware/software bundle only proposition ergo WeCanTalk.com...Intel bought into the Hausmann-Resnick vision...Intel also received oversight status on TMSRs Board of Directors...in return TMSR received no limits on channels WeCanTalk.com can sell to/through...and can be a software-only product ref/ eCommerce...said Dec 1 1998 "Modification" represented Intel's rededication to work with TMSR on the product road map [WeCanTalk.com]...Rob Smart [as Intel Architecture Labs' Business Development Manager] negotiated the original May 1998 license and after the Dec 1 1998 modification Hausmann and he felt there was no conflict of interest wherein Smart joined TMSR...feels WeCanTalk.com can enhance vs. compete with other Telco's/websites...within six (6) months WeCanTalk.com product lines e.g. Talk n' Play will be able to launch right out of an application...there may be two (2) future update releases of Talk n' Play by 12/31/99...enhancements to core technology and possible other embedded technologies...WeCanTalk.com provides high-quality low-cost enhancements to the mass market...iConference and iEducate anticipated to be bigger than Talk n' Play...GMC Capital asked Hausmann about R&D going forward...[all] on WeCanTalk.com..."our whole business model is going to change without stating the obvious"...E3 is in one week...
