Dear Curtis,

Good to hear from you. Here are some quick answers to your questions:

1. The net proceeds are available immediately, can be used for our general corporate purposes (see a post I just made to a similar question on the Yahoo! board).

2. I haven't seen the DLJ report, but I am informed that they reiterated their buy recommendation on us. I'll look for the report itself.

3. I don't know of any "required" notice for paying down debt, though we'd probably do some press releases if we used a material amount of the issue proceeds for that purpose.

4. Kate is very well. She reads these boards herself, but I'll be sure to pass on your good wishes.
