Grant, The SEC seems to also be going after other "pooling" mergers by AOL ATT and others.

What I don't understand exactly is if the CPA firms reviewed ALL THE FACTS and determined that FOR SEC ACCOUNTING as well as for GAAP ACCOUNTING that the pooling of interests method was applicable, then HOW CAN THE SEC SUCCESSFULLY CHALLENGE THESE COMPANIES NOW???

If the CPAs did their work, then the SEC should be told to take a hike. BUT, if the CPAs were negligent, then I plan on being lead plaintiff in a class action suit.
