Woodward Names New Board Member

ROCKFORD, ILL. (May 4) BUSINESS WIRE -May 4, 1999--John A. Halbrook,
chairman of the board and chief executive officer, Woodward Governor
Company (Nasdaq: WGOV), announced today that Rodney O'Neal, 45, was
elected director of the company effective immediately. The election
occurred at the April 28, 1999, Board of Directors meeting.

John Halbrook said, "Rodney brings a broad perspective to our board of
what it takes to be successful in the automotive industry and the
ability to help us leverage those operational practices in our
business."

Mr. O'Neal is vice president of Delphi Automotive Systems (NYSE: DPH)
and president of Delphi Interior Systems. Delphi Interior Systems, a
division of Delphi Automotive Systems, is a full system integrator with
advanced capabilities in cockpit modules, modular door and occupant
protection systems, and steering wheels selling throughout the world.
Previously, Mr. O'Neal served as general manager of the former Delphi
Interior & Lighting Systems, where he was elected vice president of
General Motors Corporation.

In 1971, Mr. O'Neal started his career with GM as a General Motors
Institute cooperative student. Throughout his career with GM, he has
held a number of engineering and manufacturing positions, including
director of industrial engineering, director of manufacturing
engineering and director of manufacturing. In 1994, Mr. O'Neal was
named general director of warehousing and distribution for GM Service
Parts Operations, a position he held until joining Delphi.

Mr. O'Neal received a bachelor's degree from General Motors Institute
(now known as Kettering University) and a master's degree from Stanford
University, Palo Alto, CA. He was appointed a General Motors Sloan
Fellow in 1990.
