Here is some info that I have found:

Published Tuesday, May 4, 1999

NetRadio increases size of its IPO
NetRadio Corp. has increased the size of its previously announced initial public offering.

In a filing with the Securities and Exchange Commission, the Minneapolis-based Internet broadcaster has proposed raising $49.8 million through the sale of up to 3.8 million shares at a maximum price of $13. That's about $12 million more than NetRadio originally planned to raise in its March filing. The company hadn't specified the number of shares or their target price in its earlier filing.

At $13 per share, NetRadio would be valued at $127.5 million.

NetRadio lost almost $4 million in 1998 on sales of $255,000, but the company competes in one of the hottest sectors of the Internet. In March, Viacom Inc., which owns VH1 and MTV, acquired a NetRadio competitor, Imagine Radio of Brisbane, Calif. The media giant said it would invest $150 million in making Imagine a place where Web surfers could select their own music programming as well as buy music and related products.

NetRadio allows visitors to choose from more than 100 programming channels. It also offers music sales through an online store.

The company currently is owned by Navarre, a New Hope distributor of music and software to retailers.

One more news item:

I CALLED EVEREN ABOUT THE IPO
by: ghost_bucks 51502 of 51592
Spoke to Ben Connor at Everen (follow up to CharmHer post)

I asked him if the NetRadio roadshow had started yet, he replied, "no". I asked if he could tell me when it would start? He would only say it's developing and would be soon but would not state a date.

I asked his view on the S1A as a news item. He said he thought the S1A for NetRadio was not considered a news item in and of itself. But also said he wasn't sure whether Navarre or NetRadio would be reporting anything to the media but thought not.

My impression (not Connor's words at all) is that they will not be releasing news until all issues are settled. Obviously, one might guess that a lower priced stock is a better buy (during the roadshow) than to present investor's with one that has been run-up on speculation (news reports). JMHO.

I asked about the IPO date and whether or not it had been set. He said it was NOT firmly set yet. I asked if he could give me a rough idea. He said it would be likely in a few weeks but would not be more specific.

He seemed surprised at my call and asked how I got his name. I sensed an emotional gulp when I told him he was quoted and posted on the World Wide Web.

I told him he was quoted as saying the IPO would be at least 30 more days. He responded that the work was in process and would probably take a few weeks. He didn't confirm or deny the 30 day quote but implied to me it would be sooner.

Please don't get hung up on every word here - I'm just relaying a conversation. I feel that Connor's was saying as much as he could without crossing the line.

Good luck to all

Ghost - Back to a busy day.

Imagine Radio seems very similiar to NetRadio. It seems like CDNOW is tied into Imagine Radio. I don't know why nobody has tried talking to Navarre about their radio site? I am assuming that NAVR believes that it can command the new share offering because of the current IPO conditions. I just hope that they aren't taking their time because I believe that this deal needs to be done soon before the summer. The summer generally doesn't bode well for tech stocks!

Edward

3.8 million shares at $13.00, raising 49 million dollars.

What percentage does NAVR own now of NETR?
