Would there be any anti-trust issues with ATHM and RR merging as I know of no else out there to compete?

I'll be interested in others' thoughts about that, but not before I run my own mouth off. :)

It's a unique situation because all of ATHM's and RR's partners have legal monopolies.
Another way of looking at it is to put it in context of AT&T's "control" of the cable access. If the regulators approve T's ownership of the largest mass of cable subscribers, they will likely do it in the context that there is DSL, regular phone lines and wireless stuff offering competition for cable access. That being the case, I think it will be difficult for regulators to argue that RR and ATHM pose a threat to competion.
