The options have become such a problem because of the stock run up. When they negotiated the deal with ERICY it's probably safe to presume that no one expected the price would be sitting at $210 on May 8. The question of how to "value" the unvested options exists for both sides. As a shareholder I wouldn't want to to see these people get paid off and then have the stock settle down 50 pts for the next couple of years. And of course there's the employee view, what if the stock goes to 300 in short order, then things look even worse.
