Headline: Philips Electronics (AMS:PHG) to buy Voice Control

NEW YORK, May 9 (Reuters) - Dutch electronics company Royal
Philips Electronics NV said Sunday it agreed to buy U.S. speech
technology company Voice Control Systems Inc. (NASDAQ:VCSI) for
about $59 million in cash.
Philips said the $4 per share offer -- a 25 percent premium
on Friday's closing price on the Nasdaq -- will expand its
Philips Speech Processing unit's offerings in speech
recognition and related technologies.
Under the terms of the deal, Philips plans to begin a cash
tender offer for the Dallas-based company's shares on May 14
and follow with a cash merger to acquire any shares not
previously tendered.
The Amsterdam-based company said the cash tender offer is
subject to Philips receiving at least a majority of the fully
diluted shares of VCS in the tender offer and subject to
customary regulatory approvals.
Philips last week said it had reached a friendly agreement
to buy computer chipmaker VLSI Technology (NASDAQ:VLSI) in a $1
billion transaction, marking the end of a hostile takeover
attempt for that company.
