Together, we represent the single largest block of stock with over 70M shares, approximately one third of the shares outstanding. Presently IR is stating that Kevin Simpson placed additional demands on the “finalized” agreement; Kevin Simpson said that RB placed those additional demands. Regardless of my opinion as to the truth, both the TTRIF and ISMH news releases of 4/22/99 were false and/or fraudulent. Nothing has been finalized and “prior to May 15, 1999” the BoD will not be replaced. Both parties state that negotiations are still being pursued. These releases served only to raise the share price while TT issued more shares dropping the price to an all time low.

The time has come for the shareholders, those with a financial stake in TT, an undeniable oversight and a direct input into the conduct of TT when and if it is required. One third of the voting stock was accumulated by each individual shareholder taking the time to contact us. Your help is needed and organizing is the only way your concerns will be voiced.

Contacting us will not commit you to take any action. It is simply an organization which will allow proposed changes to TT, which are contrary to your interest, to be opposed in a timely manner. We must be proactive. Consider that when the BoD voted to allow the shares outstanding to be unlimited had this organization been in existence? What will happen if the BoD votes for a reverse split as intimated in the de-listing news release? What would stop the BoD from recommending that the entire company be sold for a fraction of a cent via a reverse merger? Only with your assistance and by being organized can we prevent these realistic scenarios.
