GumTech's 10K that you quoted from contains the following statement:

The Company and Gel Tech will contribute certain intellectual property rights relating to the product.

While this statement doesn't say how much each contributed, I called GumTech and they told me that each company contributed all their intellectual property rights to Zicam.

Gel Tech LLC owns 100% of the intellectual property rights to Zicam, including the patent for Zinullose. What sort of financial terms are you looking for? GumTech noted in the 10K that they will provide Gel Tech LLC a loan in the amount of $3.5 million.

From the 10K:

The Operating Agreement will contain the specific terms of operation of the LLC and the duties and responsibilities of the Company and Gel Tech.

GumTech will be filing an 8K soon. Hopefully it will contain details from the operating agreement or a copy of the operating agreement itself. In the meantime, I'm sure if you call GumTech they will answer any questions that they can.
