Status as of 5/14/1999:

The Auditors finally finished the audit. The audited Financials will be hand delivered to us early next week, and will then be posted on our corporate website.

Since my last report, a lot has happened internal to Planet City. We have been transitioning the administration functions to our new Corporate Headquarters in Sedona. I'm happy to say that we are progressing nicely in this endeavor. There are still some process details to be worked out, but so far, things have gone surprisingly well. This is due to the outstanding efforts of some very dedicated employees.

Much of the Planet City internal activity had to do with redefining the roles and responsibilities of key players in preparation for the next stage of our growth.

I am a strong proponent of the "Continual Process Improvement" methodology. In a nutshell, that means we periodically analyze how things are going, and then do more of what seems to be working well, and less of what doesn't.

In keeping with that philosophy, the Montreal office of Planet City Software Publishing (PCSP) is now solely responsible for the Marketing and Sales of the Millennium Bug Compliance Kit (MBCK) and another product to be named soon. We are seeing a slowly increasing demand for the MBCK product, and are preparing for what we expect to be increased sales activity during the last 6 months of 1999. Sales will be by direct and telemarketing channels, as well as the sales generated by the traffic to our corporate website.

Rudy Rupak retains his position as the President of PCSP and is responsible for the success of that operation. He will also be instrumental in the rollout of the to-be-named product.

The continuing development of the new E-COMMKIT product has been spun off to an independent group of technicians in the Montreal area. This will reduce monthly expenses to Planet City during the development and testing cycles. Planet City will then have the option to license the product upon completion of the product's development.

Product and customer support, as well as product fulfillment (shipping and receiving), for the MBCK will be provided by the technical and administration staff in our new Sedona, Arizona facility. Sedona's technical staff will be designing and building future Planet City software products, as well as adding some needed improvements to the existing MBCK.

Meanwhile, I am actively recruiting to fill a couple of key positions to manage cooperative business alliances currently being formed.

I was a featured guest on "The Emerging Company Report" TV program (a paid for nationwide cable program), and Greg Kraft was the featured guest on the "Stock Market Observer" TV program (a free program) on Channel 26, WCIU, in Chicago. As a result of Greg's appearance, I received a call from a gentleman with an interesting idea for a new software product for the medical profession. I have added that to our list of possible development projects, and will have research done on its business potential as time permits.

Add to all that the flurry of activities necessary to support another upcoming announcement entirely unrelated to any of the above mentioned projects.

We've been busy, ubetcha!

A "Safe Harbor" statement follows my signoff.

Regards,

TED
