three premarket trades in nxtl so far... 37 3/4... for what that's worth...

Nextel, Microsoft Join Forces
RESTON, Va. (Reuters) - Wireless phone company Nextel Communications Inc. (Nasdaq:NXTL - news) and software giant Microsoft Corp. (Nasdaq:MSFT - news) said Monday they had cut a deal in which Microsoft would buy $600 million, at $36 a share, of Nextel common stock.

In return, Nextel would offer its customers Microsoft's wireless Internet services through a co-branded version of the Microsoft Network (MSN) Internet portal, the companies said.

Nextel said it would use the $600-million investment to speed up the deployment of its Internet wireless services, develop additional digital services and expand its network in the United States and internationally.

As part of the deal between the two companies, Nextel and Microsoft said the price of the Nextel stock Microsoft would purchase was fixed at $36 a share, and that the purchase of Nextel stock would be subject to certain transfer and standstill restrictions. Shares of Nextel closed Friday on the Nasdaq at $36.375.

In a separate announcement, Microsoft announced it would develop an Internet portal through its MSN network that would be available by the end of this year. The idea behind the cooperative venture is that Nextel customers, using wireless, hand-held devices such as cellular phones and interactive pagers, would be able to access news, electronic mail and other Web-based content through the MSN portal.

''This is the ultimate last mile, and we are delivering it wirelessly,'' Nextel Chairman and Chief Executive Dan Akerson said in a statement. ''We are very excited about this strategic relationship with Microsoft and look forward to being able to extend the power of its applications and services to customers throughout the Nextel National Network.''

i dont think MSFT has set interim price....they've given NXTL a significant wireless presence, and co-branding with MSFT name, which can only increase NXTL's value for any takeover
