I really thought MSFT's stock price was headed South today; as all the negative news stories about what the FTC may do to the AT&T deal

So far, I haven't seen anything unexpected on that front. The FCC chairman said the other day that it "warrants very careful scrutiny" -- which isn't all that unexpected. AOL's army of lawyers and lobbyists are also doing their thing to at least slow it down, which is also to be expected. Have you seen other stories?

It will be a long time before the deal closes. Based on the time it took to clear the TCI merger and the time it has taken to clear BEL/GTE and SBC/AIT (which looks like it might not be approved), we can expect it will be at least a year and several divestitures and swaps before T's complex deal is done. For example, BellAtlantic and GTE announced their planned merger in July, 1998. It only received DOJ approval last week, and still hasn't been approved by the FCC.
