I am out half on TLWN...tired of the wait and the insiders selling into it. A reg D 504 and a Private Placement are the same thing. 504 only dictates the amount of the offering (up to $1mm in 12 months) and the amount of accred and non-accred investors (I think its 35 nons and unlimited accreds). This stock MUST BE REGISTERED before it is sold, it cannot just be let out into the market, but the offering itself doesn't have to be Reg'd, only a form D filed. This is what I think, someone is selling off shares between $.20-$.25 and the MMs know it and are taking advantage by shorting on top. The end of the month is always the time it pops up a little while those bastiods have to mark to the market (cover their short positions). Good product, great potential, seems to be priced right...just too many shares available, someone is bleeding them off and I haven't seen any sign of them stopping.
