When I say overpay, I mean in terms of financial ratios. It's more than a reasonable price for the first mover advantage, IMHO.

Cap is 14-20 QNTM. So upside is 9.78. I would buy in the low 7s.

I am starting to think that the Meridian deal will close by July. My theory is that management will want to push the deal through and take care of the stock conversions before the final decision on the tracking stock is made (which could be end of June/early July). That makes taking in MDCD a bit more appealing for the short term as well--IMO.
