2) With respect to GMST: I expect ATHM (with T and MSFT behind it) at some point will merge/consolidate with this entity (or one similar to it) so that ATHM will be the seemless interface for the consumer. I have no idea whether this business will still be called ATHM, T, or something else, but ATHM will be the vehicle.

It is my opinion that such a 'merger' would need to be another hostile one and if attempted there will be significant antitrust concerns as previously expressed in the United Video failed endeavor. Gemstar has a neutral licensing policy and beyond antitrust issues certain business considerations such as that with Deutsche Telekom and its 17+ million households may be affected by such a move as might other foreign and domestic relationships like BellSouth, US West and possibly some ventures in Japan.
