Craig,

I see National selling a majority stake in the fab to TSMC with a strategic alliance as part of the deal. National would agree to have all their processors made it TSMC fabs in return for gauranteed capacity, special pricing, and maybe even being able to help define future process technology requirements (to make sure that it supports high Mhz and low power for integrated processors). This just makes sense to me.
