IPO Rules and SEC filing from the Ghost...(Part 1) Ghost is a poster in Yahoo who is awesome...Patherzen The Whole New Filing ++ by: ghost_bucks 52845 of 52873 Good Job Spearfish!!! As usual, no company news, thus the new filing will go unnoticed...again. In reading the new ammendment (#2), while it is smaller, nothing jumps out indicating what was changed. So far, the basic things seem to fit what we already knew. IMPACT Since I'm not sure what has been changed in #2, it might be assumed it remains an incomplete filing and maybe another amendment is yet to come. I don't think we have evidence of formal SEC approval for anything yet. If approval is granted say in 30 days, and the prospectus is advertised as required, 3 days at least and 10 days more for mandatory wait (roadshow time), the offering would go public 43 days from now and would have to close on or before 15 days after that. If the SEC can blast it through, maybe the first week in June is possible (I doubt it). With the backlog in IPO filings before the SEC, it's hard to say how long their approval will take. ------------- Here's a link to a good description of the IPO rules (posted it last night);secbd.org ------------- If you don't already have it, here's the link to the entire new filing;freeedgar.com ar=99&SECIndex=19862&Extension=.tst&PathFlag=0&TextFileSize=385886&SFType=&SDFil ed=&DateFiled=5/13/99&SourcePage=FilingsResults&UseFrame=1&OEMSource=&FormType=S -1/A&CompanyName=NET+RADIO+CORP ------------- WHEN IT FINALLY GOES PUBLIC - FOLLOW THE MM'S ACTION (from filing) In order to facilitate this offering, the underwriters may engage in transactions that stabilize, maintain or otherwise affect the price of our common stock.
