To All on Thread: REPORT FROM SHAREHOLDER MEETING TODAY

FWIW: brief summary, impressions from meeting:

Very hospitable, informal, accessible meeting with DW comments and answering Q's for about 3/4 H, brief presentation by CFO and intro of some other staff.

Some major points by DW, IMO:

1. LYCOS - USAI DEAL -- LCOS STATUS

Said offline - online mix didn't work well: offline vs. online multiples. Said deal moved forward in large part due to enthusiasm of Lycos management. Said it would not have made any difference if he had voted against original deal. Commented Lycos's stock price plunge was one of largest ever for a company that was to be acquired.

Next portal up from LCOS is YAHOO with 40 bill mrkt. cap.

NBC merger talk didn't work out because NBC did not have assets or properties to contribute of sufficient value to give NBC "governance"
in exchange.

Asked directly re: CMGI designs on LCOS: said that was "sacred ground" and he could not "tread" there !! Said: "Best to say 'no comment.'"

2. CMGI AS VENTURE CAP COMPANY VS. OPERATING COMPANY

Said CMGI always has been an operating company -- but now will be expanding more in that directions. (Editorial Q: Is this related to issue # 1 -- LCOS as T/O target ?)

3. STREAMING MEDIA -- MAGNITUDE NETWORK

a. DW stated Auburn Miller (? sp), former INTC exec has joined LCOS board. Described as leading expert in streaming media.

b. MAG NET never intended as implementing co., only a platform. Along with other companies, will be folded into iCast. As just 1 area as an example, DW very excited about possibilities of radio casting, linking cross station search functioning, storage, and commerce hook-up. Talked about Activerse and Ding Instant Messenger in this
"click stream."

OTHER ODD AND ENDS:

-Personal comments about having started his on software company in the early 1980's. Had grown some with about 55 employees. Said working with product "like Windows before they called it Windows." Said with regret was forced by VC partners to sell out "too early." Said that experience helped shape his business model for CMGI.

- Expanded stock plan key for employee retention, recruitment. 25 to 26 new hires per week, mostly tech. Grown from 86 to 1300. Referred to brain drain problem at companies like MSFT with prospect of decelerating growth rate. Employees of subsidiaries participate in CMGI stock plans until they go public only.

- 44 subsidiaries / affiliates cited. Humorous response to question of "upper limit" of #: "324". Said CMGI model of incubation, prevents one company from getting too big and unwieldy. Said this model would allow for the spinoffs to have their own spinoffs to keep manageable size; mentioned e,g., Engage.

- 400,000,000 stock authorization will now provide shares for future splits and also acquistions. Want to be ready to do so.

- Gateway -- CMGI will contribute software and services in the alliance.

- Asked his famous quote re: missing out on EBAY. Said he thought competition might develop for EBAY and other internet auction cos. through the personal publishing arena.

- Y2K not expected to be a problem. Probably spent 5 mill. to deal with it in headquarters and some companies, e.g. Navisite. Expects more of the problems will be international rather than domestic.

- CMGI mugs, Raging Bull T-shirts a big hit; Raging Bull devotees well represented. DW agreed to group photo with all Raging Bull contributors in attendance.

- Adsmart, Engage, Raging Bull, Navisite, PlanetDirect -- all located at same site.

SUM: Good things happening. Positive feelings expressed by those in attendance re: DW and other management leadership.

My lingering speculation - just IMO: LCOS as target / hub for CMGI companies / enterprises ?

Next meeting in December. Will need a larger room next time !
