DJ Hummingbird Expects To Close PC DOCS Takeover

TORONTO (Dow Jones)--A Hummingbird Communications Ltd. (HUMC) spokesman said the company
expects to close its bid for PC DOCS Group International Inc. (DOCS).

Hummingbird has no plans to extend its C$11-a-share bid for all the outstanding shares of PC DOCS,
which expires at midnight EDT Wednesday (0400 GMT Thursday), he added.

The companies are already working together, the spokesman said, noting the integration of PC DOCS into
Hummingbird's operations will take seven to nine months. Until then, PC DOCS will operate as a unit of
Hummingbird, he added.

Hummingbird will immediately start working to maximize PC DOCS' profitability, the spokesman said.
He declined to elaborate. As reported, after Hummingbird's annual meeting in May, chairman, president
and chief executive Fred Sorkin said Hummingbird would "probably" sell off parts of PC DOCS if and
when the takeover closed.

PC DOCS makes document- and database-management software.

Hummingbird Communications provides enterprise connectivity software.

In a related move, Hummingbird's Board of Directors have elected Mr. John McLennan as a Vice-Chairman. Mr. McLennan, the former President and Chief Executive Officer of Bell Canada, had previously worked closely with Mr. Tobin. In his new capacity, Mr. McLennan will serve to provide consultation and support for the newly strengthened management group.
