I don't understand your reasoning on the authorized-but-not-issued shares... the club doesn't need the cash and issuing more shares would simply dilute Jacobs holdings. And the shares certainly aren't being sold yet, it's not like they can simply decide to issue stock without a vote of BD and without telling anyone.
